1. Definitions

“Agency” refers to Sapphire Manpower Inc, its employees, and representatives.
“Client” means any company or individual that engages the Agency to recruit employees or contractors.
“Candidate” means any individual introduced by the Agency to the Client for employment or engagement.
“Engagement” includes any form of employment, consultancy, freelance, or contract work.

2. Acceptance of Terms

By using our services, visiting our website, or entering into a recruitment agreement with [Your Agency Name], you agree to these Terms and Conditions. If you do not agree, please do not use our services.

3. Services Provided

We offer the following services:
Permanent and contract recruitment
Executive search and headhunting
Talent sourcing and screening
Recruitment process outsourcing (RPO)
CV review and candidate coaching (optional)
We act as an employment agency for permanent placements and an employment business for temporary/contract roles (as defined by applicable law).

4. Client Responsibilities

Clients agree to:
Provide accurate and complete job descriptions
Notify the Agency of any offers of employment made to a Candidate
Pay agreed fees promptly and in full
Maintain confidentiality about Candidates and their personal data
Not contact Candidates directly without prior consent from the Agency (during the engagement process)

5. Candidate Responsibilities

Candidates agree to:
Provide accurate and honest information in CVs and interviews
Inform the Agency of any prior or current applications to the same Client
Notify the Agency of any job offers or engagements resulting from an introduction
Respect the confidentiality of Client information
The Agency reserves the right to decline representation of any Candidate at its discretion.

6. Introduction and Placement Fees (Clients)

Fees for permanent or contract placements are agreed upon in writing prior to service. An “Introduction” occurs when the Agency shares Candidate details with the Client, regardless of how the Candidate is ultimately engaged.
Fee Triggers:
A fee is due if the Candidate is engaged within 12 months of introduction
Fees apply whether the engagement is for full-time, part-time, freelance, or consultancy work
Full terms of fees, refund periods, and guarantees are outlined in individual contracts.

7. Guarantee & Replacement Policy (Optional)

If a Candidate placed by us leaves within [X] weeks of starting, we will:
Provide a free replacement Candidate (if available), or
Offer a partial refund (subject to conditions in the client agreement)
This policy is valid only if the Client has:
Paid all invoices in full and on time
Not altered the job role or conditions post-placement
Not terminated the Candidate without valid cause

8. Confidentiality

All parties agree to keep confidential any business, personal, or Candidate information shared as part of the recruitment process. Unauthorized sharing may result in legal action.

9. Data Protection

We process all personal data in accordance with our Privacy Policy and applicable data protection laws (e.g., GDPR). By using our services, you consent to the processing of your data for recruitment purposes.

10. Liability & Disclaimer

While we strive to source qualified Candidates, we do not guarantee the performance, conduct, or suitability of any individual. Clients are responsible for:
Final hiring decisions
Verifying qualifications and references
Complying with employment laws
The Agency is not liable for any loss, damage, or expenses resulting from a Candidate’s actions or omissions.

11. Termination

Either party may terminate a recruitment agreement with written notice, subject to any obligations and fees already incurred. The Client remains liable for fees related to Candidates introduced prior to termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Country or State]. Any disputes will be resolved in the courts of that jurisdiction.

13. Amendments

We may update these Terms and Conditions at any time. Changes will be posted on our website with a revised “Last Updated” date. Continued use of our services after changes constitutes acceptance.
